MyVitalHome™ Partner Terms of Service

Please read these Partner Terms of Service (“Partner Terms”) carefully before accessing or using the MyVitalHome™ Partner Platform, related Partner features, or Partner services (collectively, the “Partner Platform”) operated by Freels I.T. Solutions LLC (“MyVitalHome,” “we,” “us,” or “our”).
The Partner Platform is part of the MyVitalHome™ service available through https://myvitalhome.com and related applications and services.
By creating a Partner account, joining or creating a Partner Organization, purchasing or distributing MyVitalHome gifts, or otherwise using the Partner Platform, you agree to be bound by these Partner Terms. If you do not agree to these Partner Terms, you may not access or use the Partner Platform.
1. Acceptance of Partner Terms
By creating a Partner account or otherwise using the Partner Platform, you represent and warrant that:
You are at least 18 years old.
The information you provide is accurate, complete, and current.
You have read, understood, and agree to these Partner Terms.
If you use the Partner Platform on behalf of a business or other organization, you have authority to act on behalf of that organization and, where applicable, bind it to these Partner Terms.
These Partner Terms apply specifically to use of the MyVitalHome Partner Platform. A gift recipient who creates or uses a homeowner MyVitalHome account is also subject to the terms and policies applicable to the homeowner MyVitalHome service.
2. Description of the Partner Platform
The MyVitalHome Partner Platform enables approved businesses and professionals (“Partners”) to purchase, distribute, and administer eligible MyVitalHome memberships as gifts to clients and other eligible recipients.
Partner Platform functionality may include:
Creating or joining a Partner Organization.
Purchasing MyVitalHome gift inventory.
Sending MyVitalHome gifts electronically.
Generating printable gift coupons.
Viewing available gift inventory.
Viewing administrative gift information and redemption status.
Managing Partner Organization membership and roles where applicable.
Accessing other Partner features made available by MyVitalHome.
Features and functionality may vary by Partner type, organization type, role, or account status.
MyVitalHome may add, modify, replace, or discontinue Partner Platform features from time to time.
3. Partner Accounts and Organizations
Each person accessing the Partner Platform must use their own authorized Partner account. Partner users may not share login credentials or allow another person to access the Partner Platform through their account.
Partner Organizations may include various supported business or professional organization types made available through the Partner Platform.
Certain Partner Organization types may support multiple users, while certain individual Partner types may be limited to a single user.
Partners agree to:
Maintain accurate and current account and organization information.
Maintain the confidentiality and security of their login credentials.
Promptly notify MyVitalHome of suspected unauthorized account access.
Use organization join codes only for authorized organization membership.
Take reasonable steps to prevent unauthorized access to organization join codes.
Comply with the access and membership restrictions applicable to their Partner Organization type.
Each Partner user is responsible for activity conducted through their individual account.
4. Organization Administrators and Members
Partner Organizations that support multiple users may designate one or more Organization Administrators (“Organization Admins”).
Organization Admins may have authority to manage organization membership, roles, purchases, gift inventory, and other organization-level functionality provided through the Partner Platform.
An Organization Admin represents that they are authorized to administer the Partner Organization.
Organization Admins are responsible for reasonably managing membership and access to their organization, including removing users who should no longer have access.
Individual Partner users remain responsible for their own conduct and activity.
MyVitalHome may suspend or remove an individual Partner user without suspending the entire Partner Organization when appropriate. MyVitalHome may suspend or terminate an entire Partner Organization when organization-wide conduct warrants such action.
If the sole Organization Admin of a multi-user organization wishes to leave or delete their Partner account while other organization members remain, another eligible member must first be designated as an Organization Admin.
Where reasonably necessary and after appropriate verification, MyVitalHome may assist an organization in restoring administrative access or assigning an eligible organization member as an Organization Admin.
5. Gift Inventory Ownership
Gift inventory purchased for a multi-user Partner Organization belongs to the Partner Organization, not to the individual Partner user or Organization Admin who initiated or paid for the purchase.
If an individual member or Organization Admin leaves the organization, the organization's remaining gift inventory remains with the organization.
Gift inventory purchased through an individual Partner account belongs to that Partner account.
Purchased gift inventory does not expire while it remains unused and unissued in an active Partner account or Partner Organization, subject to these Partner Terms.
Gift inventory may not be transferred between unrelated Partner accounts or Partner Organizations except where expressly authorized by MyVitalHome.
6. Gift Purchases and Payment
Only Partner users with appropriate purchasing authority may purchase gift inventory on behalf of a Partner Organization. Unless otherwise provided through the Partner Platform, organization purchasing authority is limited to Organization Admins.
By completing a purchase, the purchasing Partner represents that they are authorized to make the purchase and use the selected payment method.
Partner purchases are one-time transactions unless expressly stated otherwise.
MyVitalHome may change gift-pack pricing, quantities, available membership tiers, or other purchase options at any time. Changes apply to future purchases and do not alter legitimately purchased existing inventory.
A subsequent decrease in price does not entitle a Partner to a refund or credit for inventory previously purchased at a higher price.
The price and applicable charges displayed during checkout apply to that transaction, subject to any applicable taxes or other charges disclosed during checkout.
Payments are processed through third-party payment processors, including Stripe where applicable. MyVitalHome does not store full payment-card credentials on its servers when payment information is processed directly by the applicable payment provider.
7. Refund Policy
Partner gift purchases are generally non-refundable once payment has been completed and the purchased gift inventory has been credited to the applicable Partner account or Partner Organization.
Redeemed gifts are non-refundable.
MyVitalHome may, at its discretion, provide a refund, account credit, inventory adjustment, or other remedy for duplicate transactions, technical errors, or exceptional circumstances.
Nothing in this section limits rights that cannot lawfully be waived.
8. Issuing Gifts
A unit of gift inventory is considered issued when the Partner uses it to create an electronic gift or generate a printable gift coupon for an intended recipient.
Once issued, that unit is removed from available inventory.
Issuing a gift begins the gift's redemption period.
An issued gift does not return to available inventory merely because:
The recipient does not redeem it.
The gift email cannot initially be delivered.
The Partner later changes their mind.
The gift reaches its redemption expiration date.
Partners should verify recipient information before issuing a gift.
9. Gift Redemption and Expiration
An issued MyVitalHome gift must be redeemed within 24 months from the date the gift is originally issued.
The redemption period begins:
For an electronic gift, when the gift is originally issued for electronic delivery.
For a printable gift coupon, when the coupon is originally generated.
The applicable redeem-by date may be displayed in gift communications and printable materials.
If an issued gift is not redeemed before its redeem-by date, the gift expires and can no longer be redeemed. An expired gift is considered consumed and is not returned to the Partner's available gift inventory.
Reissuing, correcting, resending, or reprinting an unredeemed gift does not restart or extend the original 24-month redemption period unless MyVitalHome expressly extends the redemption deadline.
MyVitalHome may extend a redemption deadline or provide another reasonable remedy in appropriate circumstances, including certain technical or service disruptions.
MyVitalHome may invalidate or replace gift tokens for legitimate security, fraud-prevention, technical, or administrative reasons without requiring the Partner to purchase a replacement gift when appropriate.
10. Gift Membership Period
Upon valid redemption, a gift provides the recipient with 12 months of the applicable MyVitalHome membership entitlement according to MyVitalHome's then-current redemption and entitlement rules.
The recipient receives the full applicable gift period regardless of how long after issuance the gift was redeemed, provided redemption occurs before the redeem-by date.
If MyVitalHome modifies, renames, replaces, or discontinues a membership tier before a valid outstanding gift is redeemed, MyVitalHome may fulfill the gift using a reasonably equivalent or better membership offering.
MyVitalHome may modify the features and functionality associated with membership tiers over time. A gift does not guarantee that every feature available when the gift was purchased or issued will remain unchanged throughout the gift's lifecycle.
11. Existing MyVitalHome Subscribers
A valid gift may be redeemed by an eligible person who already has a MyVitalHome account or paid membership.
MyVitalHome will apply gifted membership value according to its then-current entitlement and redemption rules and will not intentionally eliminate an existing legitimate paid entitlement solely because the user redeems a Partner gift.
The specific timing, stacking, upgrading, or application of gifted entitlements may depend on the recipient's existing membership and the membership tier being gifted.
12. Recipient Eligibility and Information
Partners should only issue gifts to recipients they reasonably believe are at least 18 years old.
When providing recipient information, the Partner represents that they have a legitimate business or personal relationship with the recipient or another lawful basis for providing the recipient's information and sending the gift.
Partners may not use the Partner Platform to:
Send bulk unsolicited communications or spam.
Send gifts using purchased, harvested, or scraped contact lists.
Harass recipients.
Conduct fraudulent or unlawful marketing.
Use recipient information for purposes inconsistent with these Partner Terms.
Partners should provide only information reasonably necessary for the gifting functionality provided by MyVitalHome.
Partners must not use MyVitalHome to store unnecessary sensitive information about recipients, including Social Security numbers, passwords, financial-account information, medical information, or other sensitive personal information not requested by the Partner Platform.
13. Delivery Failures, Corrections, and Reissued Gifts
If an electronic gift cannot be delivered or contains incorrect recipient information, MyVitalHome may allow the Partner to correct and resend or reissue an unredeemed gift without consuming an additional unit of inventory.
If a replacement token is generated, the original token may be invalidated.
Corrections, resends, reissues, and replacement coupons generally retain the original gift's redeem-by date.
Once a gift has been redeemed, it may not be transferred or reassigned to another recipient.
MyVitalHome may assist with legitimate delivery problems or recipient corrections when appropriate.
14. Gift Transfers and Resale
Gift inventory and issued gifts may not be resold, auctioned, exchanged for cash, distributed through unauthorized marketplaces, or otherwise commercially exploited outside the intended Partner gifting program.
Partners may not transfer gift inventory between unrelated Partner accounts or Partner Organizations without authorization from MyVitalHome.
An unredeemed gift may be corrected or reissued where permitted by the Partner Platform or MyVitalHome support, but a redeemed gift cannot be transferred.
15. Homeowner Privacy and Partner Access
Purchasing, issuing, or providing a MyVitalHome gift does not give the Partner or Partner Organization access to the recipient's private MyVitalHome homeowner account or homeowner data.
Partners may receive administrative information reasonably necessary to manage gifts, which may include information such as:
Recipient information originally supplied by the Partner.
Gift membership tier.
Gift issuance date.
Redeem-by date.
Email delivery status.
Whether the gift is awaiting redemption, redeemed, or expired.
Partners are not entitled to access a recipient's private homeowner information merely because they purchased or provided the gift. This includes, without limitation:
Home profiles or private home information.
Appliance information.
Maintenance schedules or activity.
Service logs.
Service contacts.
Household-member information.
Home Assistant conversations.
Other private information entered into the homeowner MyVitalHome service.
Redemption of a gift does not constitute consent for MyVitalHome to share the recipient's homeowner data with the gifting Partner.
MyVitalHome does not provide Partners with ongoing monitoring of a recipient's use of the homeowner platform.
16. Partner Content and Organization Branding
Partners retain ownership of organization names, logos, and other materials they lawfully provide to MyVitalHome (“Partner Content”).
By submitting Partner Content, the Partner grants MyVitalHome a limited, non-exclusive license to store, process, reproduce, resize, and display that content as reasonably necessary to operate the Partner Platform, administer gifts, and generate Partner-authorized gift materials.
Partners represent that they have the necessary rights and permissions to provide and use Partner Content.
MyVitalHome may reject, remove, or restrict Partner Content that is unlawful, misleading, offensive, infringing, impersonates another person or organization, creates a security or privacy concern, or otherwise violates these Partner Terms.
17. MyVitalHome Intellectual Property and Partner Branding License
The Partner Platform, MyVitalHome service, software, designs, content, functionality, gift templates, trademarks, logos, trade dress, and other proprietary materials remain the exclusive property of Freels I.T. Solutions LLC or its licensors.
MyVitalHome™ is a trademark of Freels I.T. Solutions LLC.
While a Partner account remains authorized, MyVitalHome grants the Partner a limited, non-exclusive, non-transferable, revocable license to use MyVitalHome-provided Partner materials and approved branding solely for legitimate participation in the MyVitalHome Partner Platform and distribution or promotion of authorized MyVitalHome gifts.
Partners may not:
Misrepresent ownership of MyVitalHome.
Materially alter MyVitalHome branding in a misleading manner.
Claim to be an employee or agent of MyVitalHome.
Register domains, social-media accounts, trademarks, or business names that improperly incorporate MyVitalHome branding.
Create unauthorized MyVitalHome products, gift certificates, or promotional materials.
Remove required MyVitalHome branding, redemption information, expiration information, or legal notices from official gift materials.
18. Independent Relationship
Participation in the MyVitalHome Partner Platform does not create a legal partnership, joint venture, agency, employment, fiduciary, franchise, or similar relationship between Freels I.T. Solutions LLC and any Partner or Partner Organization.
The term “Partner” describes participation in the MyVitalHome Partner Platform and does not establish a legal partnership.
Partners may accurately describe themselves as participating in the MyVitalHome Partner Platform but may not:
Enter into contracts on behalf of MyVitalHome.
Bind MyVitalHome to any obligation.
Make warranties or guarantees on behalf of MyVitalHome.
Represent themselves as employees or agents of MyVitalHome.
Represent that MyVitalHome endorses their professional services merely because they participate in the Partner Platform.
19. Professional, Legal, Tax, and Regulatory Responsibility
Partners are solely responsible for determining whether their purchase and distribution of MyVitalHome gifts complies with applicable professional, employer, brokerage, licensing, regulatory, tax, accounting, ethics, or other requirements.
MyVitalHome does not provide legal, tax, accounting, real-estate, brokerage, licensing, or professional-compliance advice.
MyVitalHome makes no representation that a Partner purchase qualifies as a deductible business expense or that providing a MyVitalHome gift is permitted under every employer, brokerage, professional, regulatory, or legal requirement applicable to the Partner.
20. Fraud, Abuse, and Security Reviews
MyVitalHome may temporarily limit, review, or suspend purchasing, gift issuance, redemption, account access, or other Partner Platform activity when MyVitalHome reasonably believes activity may be fraudulent, abusive, unauthorized, unlawful, automated in an unauthorized manner, or pose a security risk.
MyVitalHome may apply reasonable transaction or security limits when necessary.
Legitimate Partners may contact MyVitalHome regarding unusually large purchases or other activity that may require additional review.
21. Payment Disputes and Chargebacks
If a Partner payment is disputed, reversed, refunded, or charged back, MyVitalHome may take reasonable action to protect the Service and reconcile the affected transaction.
Such action may include:
Temporarily restricting use of inventory associated with a disputed transaction.
Removing unused inventory associated with a refunded, reversed, or successfully charged-back purchase.
Invalidating unredeemed gifts associated with fraudulent, unauthorized, or successfully reversed transactions where appropriate.
Suspending purchasing privileges.
Suspending or terminating accounts involved in fraudulent or abusive chargeback activity.
MyVitalHome will determine appropriate treatment of already-redeemed gifts based on the circumstances, including whether the recipient was involved in or had knowledge of fraudulent activity.
22. Organization and Account Deletion
Only an authorized Organization Admin may initiate permanent deletion of a multi-user Partner Organization through available self-service functionality.
Regular organization members may not permanently delete the Partner Organization.
Permanent deletion may:
Remove Partner access to the organization.
Delete or anonymize organization and profile information that MyVitalHome no longer needs to retain.
Permanently forfeit unused gift inventory without refund.
Permanent organization deletion does not:
Restore expired gifts to inventory.
Cancel legitimate previously redeemed homeowner gifts.
Necessarily delete transaction, accounting, fraud-prevention, security, gift, or other records MyVitalHome reasonably needs or is legally required to retain.
An individual Partner account that does not support additional members may be deleted through the applicable individual deletion process.
Partners should distribute any remaining inventory they wish to use before permanently deleting an account or organization. Unused inventory forfeited through voluntary permanent deletion is non-refundable.
Deletion is intended to be permanent and may not be reversible.
Partners may also contact legal@myvitalhome.com regarding account or data deletion requests.
23. Data Retention Following Deletion
MyVitalHome may retain limited records after account or organization deletion where reasonably necessary for:
Processing or documenting transactions.
Accounting and tax obligations.
Fraud prevention.
Security and dispute resolution.
Legal or regulatory requirements.
Administering and honoring previously issued or redeemed gifts.
Establishing, exercising, or defending legal claims.
Such records will be retained only as reasonably necessary for the applicable purpose or as required by law.
Partner accounts are not automatically deleted solely because they have been inactive for a specified period unless MyVitalHome provides otherwise in the future.
24. Suspension and Termination
MyVitalHome may suspend or terminate a Partner user, Partner Organization, purchasing privileges, or access to the Partner Platform for reasons including:
Violation of these Partner Terms.
Fraud or suspected fraud.
Abuse of the gifting system.
Unauthorized or unlawful activity.
Payment fraud or abusive chargebacks.
Security concerns.
Unauthorized use of MyVitalHome intellectual property.
Conduct that harms or could reasonably harm MyVitalHome, its users, Partners, recipients, or third parties.
If a Partner is terminated because of fraud, abuse, unlawful activity, chargebacks, or violation of these Partner Terms, unused gift inventory may be forfeited without refund where permitted by law.
If MyVitalHome terminates or materially discontinues a Partner's access for reasons unrelated to Partner misconduct, MyVitalHome may provide a reasonable opportunity to use legitimately purchased unused inventory, provide an appropriate refund or credit for qualifying unused inventory, or provide another reasonable remedy.
Legitimately redeemed gifts generally remain valid through their applicable membership period following Partner termination.
Issued but unredeemed gifts generally remain redeemable through their existing redeem-by dates unless they are invalidated because of fraud, unauthorized transactions, chargebacks, security concerns, or other circumstances reasonably requiring invalidation.
25. Service Availability and Support
The Partner Platform is provided on an “as is” and “as available” basis.
MyVitalHome will make reasonable efforts to operate and support the Partner Platform but does not guarantee:
Continuous or uninterrupted availability.
Any particular uptime percentage.
Error-free operation.
Specific support response or resolution times.
Availability may be affected by maintenance, third-party service providers, Internet disruptions, technical issues, security incidents, or circumstances outside MyVitalHome's reasonable control.
If an extended disruption materially prevents redemption or use of a paid gift, MyVitalHome may extend an applicable redemption or entitlement period or provide another reasonable remedy.
26. Prohibited Uses
In addition to other restrictions in these Partner Terms, Partners may not use the Partner Platform to:
Violate applicable laws or regulations.
Commit or facilitate fraud.
Gain unauthorized access to systems, accounts, or data.
Circumvent security or access controls.
Share individual Partner credentials.
Impersonate MyVitalHome, another Partner, another organization, or another person.
Interfere with or disrupt the Partner Platform.
Use automated systems to abuse purchasing, gifting, redemption, or other functionality.
Reproduce, copy, sell, exploit, or reverse engineer protected portions of the Service except as permitted by law.
Transmit unsolicited or unauthorized advertising or promotional material.
Infringe the intellectual-property, privacy, or other rights of another party.
Use MyVitalHome gift functionality for unlawful, deceptive, or abusive purposes.
27. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PARTNER PLATFORM AND RELATED SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
MYVITALHOME DOES NOT WARRANT THAT THE PARTNER PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE OF HARMFUL COMPONENTS.
28. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FREELS I.T. SOLUTIONS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, REFERRALS, GOODWILL, OR DATA, ARISING FROM OR RELATED TO THE PARTNER PLATFORM.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF FREELS I.T. SOLUTIONS LLC ARISING OUT OF OR RELATING TO THE PARTNER PLATFORM OR THESE PARTNER TERMS SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO MYVITALHOME BY THE APPLICABLE PARTNER OR PARTNER ORGANIZATION DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Partner Terms excludes or limits liability that cannot legally be excluded or limited.
29. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Freels I.T. Solutions LLC and its officers, directors, employees, agents, and affiliates from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from or relating to:
Your use or misuse of the Partner Platform.
Your violation of these Partner Terms.
Partner Content or information you submit.
Your handling or provision of recipient information.
Gifts or communications you initiate in violation of applicable law or these Partner Terms.
Misrepresentations you make concerning MyVitalHome.
Unauthorized use of MyVitalHome branding or intellectual property.
Your violation of professional, employer, brokerage, regulatory, tax, or legal obligations.
Your infringement or violation of another person's intellectual-property, privacy, or other rights.
Fraudulent or unauthorized activity attributable to your Partner account or organization.
30. Changes to the Partner Platform and Membership Offerings
MyVitalHome may modify, update, replace, or discontinue features, functionality, gift packages, membership tiers, or other aspects of the Partner Platform.
MyVitalHome will use reasonable measures to preserve the value of legitimately purchased outstanding gift inventory when material changes affect an existing gifted membership offering.
Where an existing gifted membership tier is discontinued, MyVitalHome may substitute a reasonably equivalent or better offering.
31. Changes to These Partner Terms
MyVitalHome may update these Partner Terms from time to time.
When changes are made, we will post the revised Partner Terms and update the “Last Updated” date.
For material changes affecting Partner rights or obligations, MyVitalHome may provide additional notice, including by email, through the Partner Platform, or by other appropriate means, where appropriate or required by law.
Continued use of the Partner Platform after revised Partner Terms become effective constitutes acceptance of the revised Partner Terms, subject to applicable law.
Changes to these Partner Terms will not be used solely to retroactively eliminate the fundamental value of legitimately purchased gift inventory without an appropriate remedy.
32. Business Transfers
If Freels I.T. Solutions LLC or the MyVitalHome business is involved in a merger, acquisition, reorganization, financing, sale of assets, or similar business transaction, Partner Platform accounts, records, gift inventory, issued gifts, and related rights and obligations may be transferred to a successor or acquiring entity as part of that transaction.
Where applicable, outstanding legitimate gift obligations may be assumed or otherwise addressed as part of the continued operation or disposition of the MyVitalHome service.
33. Governing Law and Jurisdiction
These Partner Terms are governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict-of-law provisions.
Any disputes arising under or relating to these Partner Terms or the Partner Platform shall be subject to the exclusive jurisdiction of the state and federal courts located in Minnesota.
34. Severability
If any provision of these Partner Terms is found to be invalid or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable where possible, and the remaining provisions will remain in full force and effect.
35. Waiver
Failure by MyVitalHome to enforce any provision of these Partner Terms does not constitute a waiver of that provision or any other provision.
36. Assignment
Partners may not assign or transfer their rights or obligations under these Partner Terms without prior written consent from MyVitalHome.
MyVitalHome may assign or transfer its rights and obligations in connection with a merger, acquisition, reorganization, sale of assets, or other business transaction.
37. Entire Agreement
These Partner Terms, together with the MyVitalHome Partner Privacy Policy and any additional terms expressly applicable to particular Partner Platform features, constitute the agreement between you and Freels I.T. Solutions LLC regarding your use of the Partner Platform and supersede prior agreements or understandings concerning that use.
